For a lot of kids, walking in on their pareents like that is scary because a lot of times they don't understand what is happening, and they think daddy is attacking mommy or something like that. On the other hand, a simple calm honest discussion has none of the factors that cause that extreme emotional reaction in a child that walking in on it would have. Your child will be better off knowing the truth. Not only for this subject, but for your credibility in the future as well.
Like someone else mentioned earlier, your child will be exposed to this stuff at school anyway. Who do you want educating your child about sex - you, or your child's friends from school? Who's more qualified? And what do you think is going to happen to your credibility when you tell your child one thing, and then he learns some of the truth from his friend at school...from then on, who is he going to look to for answers, you or his friends? Again, who is more qualified to be giving those answers? You, of course! Make sure he knows that, and can trust you in that.

i think how you approach the conversation makes a difference, and concider the child's temperment. But still tell the truth.

Just tell the truth from even before they can hear, then they will know that it is natural and good and they wont see sex as a bad subject.
